Abbott completed its acquisition of Exact Sciences on March 23, 2026, for approximately $20.6 billion, paying $105 per common share in cash. Abbott funded approximately $20.0 billion with long-term debt and the remainder with cash, while assuming approximately $2.8 billion of Exact Sciences debt that was nearly all repaid by June 30, 2026. The preliminary purchase-price allocation included $12.8 billion of acquired intangible assets, $11.4 billion of goodwill, $0.4 billion of net tangible assets, and $2.0 billion of deferred income taxes. Exact Sciences contributed approximately $1.0 billion of Abbott’s first-half 2026 sales and expanded the Diagnostic Products segment into cancer diagnostics through Cologuard, Oncotype DX, and Cancerguard.
