Exact Sciences Acquisition

ABBOTT LABORATORIES · 2026-11-04 · Importance 71 · Surprise 60 · Contradicted

Abbott completed its acquisition of Exact Sciences on March 23, 2026, for approximately $20.6 billion, paying $105 per common share in cash. Abbott funded the purchase primarily with $20.0 billion of long-term debt issued in March 2026 and the remainder with cash; it also assumed approximately $2.8 billion of target debt, nearly all of which it repaid. The acquisition established Abbott's position in cancer diagnostics and added Cologuard, Oncotype DX, and Cancerguard; Exact Sciences contributed approximately $2.0 billion of sales from the acquisition date through September 30. A third-quarter purchase-accounting adjustment increased acquired intangible assets by $3.2 billion and reduced goodwill by the same amount, resulting in approximately $100 million of additional third-quarter amortization expense.
