Caterpillar expects restructuring costs of approximately $300 million to $350 million in 2026, primarily associated with the divestiture of certain non-U.S. entities. The company recorded a $139 million loss in the second quarter related to the divestiture, with no related tax benefit. Prior restructuring actions are expected to provide approximately $39 million of incremental operating-cost benefits in 2026 versus 2025, primarily through cost of goods sold and SG&A. Second-quarter restructuring costs increased primarily because of the non-U.S. entity divestiture.
