Vylor commenced private exchange offers for all eligible outstanding EIDP senior notes in three series due 2030, 2032, and 2033. The notes have an aggregate principal amount of approximately $1.6 billion and would be exchanged for corresponding Vylor notes on a par-for-par basis for early tenders. Eligible noteholders tendering by August 19, 2026, may receive $2.50 to $5.00 in cash per $1,000 principal amount, while later tenders receive a slightly reduced principal amount of Vylor notes.
