U.S. Government CHIPS Agreement

Intel entered into a Warrant and Common Stock Agreement with the U.S. Department of Commerce on August 22, 2025 and, pursuant to amendment terms on August 27, 2025, received $5.7 billion of accelerated CHIPS Act disbursements and had prior project milestone requirements removed (including those associated with $2.3 billion previously received). As consideration Intel issued 275 million shares to the DOC, a warrant to purchase up to 241 million shares at $20.00 per share (triggered if Intel ceases to own at least 51% of Intel Foundry), and placed 159 million shares in escrow tied to up to $3.2 billion of future Secure Enclave disbursements (3 million escrowed shares released to date). Intel adjusted related accounting after consultation with SEC staff in Q4 2025 and concluded such adjustments were immaterial to its Q3 2025 condensed consolidated financial statements.
