Medtronic commenced an exchange offer to separate at least 80.1% of MiniMed Group, Inc. from Medtronic. Shareholders may exchange Medtronic ordinary shares for MiniMed shares in a transaction intended to be generally tax-free for U.S. federal income tax purposes. MiniMed filed a Form S-4 covering an exchange of up to 225,361,295 MiniMed common shares for Medtronic ordinary shares. Medtronic currently owns approximately 89.86% of MiniMed and is expected to retain no equity stake after completion, allowing MiniMed autonomy over capital allocation, product development, and operations while Medtronic focuses on cardiovascular, neuroscience, and surgical portfolios.
