Southern Company announced private placements of $650 million of convertible senior notes due December 15, 2027, and $1.5 billion of convertible senior notes due September 15, 2029. Initial purchasers may buy up to an additional $97.5 million of the 2027 notes and $225 million of the 2029 notes through 13-day options. The senior unsecured notes will pay interest semiannually, with final interest rates, conversion prices and other terms determined at pricing. Upon conversion, Southern Company may satisfy its obligations with cash, common stock or a combination, subject to cash payments up to the principal amount.
